GENERAL TERMS AND CONDITIONS OF SALE

PLEASE READ CAREFULLY BEFORE ORDERING. BY CLICKING ON THE "PAY" BUTTON, YOU (hereinafter referred to as "Customer") AGREE TO BE BOUND BY THE FOLLOWING PROVISIONS.

PREAMBLE

The INSTITUT la PLEIADE SA, proposes, via its various Internet sites the Fidelp service, the acquisition of data-processing solutions or their use on line, such as software.

The online store of the INSTITUT la PLEIADE SA, within the framework of the fidelp website, mentions the information to be provided by the e-commerce provider according to the applicable regulations.

The Customer declares that he/she has full legal capacity to enter into these terms and conditions.

He declares that he is a natural person wishing to use, on a personal basis, the computer solutions thus purchased.

The online store is not open to legal entities or persons acting within the framework of a commercial activity (resale prohibited). To access the services offered to companies or schools, these persons are invited to contact the INSTITUT la PLEIADE SA by e-mail at the address info@fidelp.ch

ARTICLE 1: DEFINITIONS

Unless otherwise defined, the terms below have the following meanings:

- The Customer: shall designate the natural person wishing to purchase on the Internet site www.fidelp.ch the Product as identified below.

- Product: refers to the right of access and use, sold by L'INSTITUT la PLEIADE SA, to one of the "fidelp" online applications (hereafter application).

- The Application: refers to the learning and training software for the fide test of L'INSTITUT la PLEIADE SA, accessible via the website www.fidelp.ch.

ARTICLE 2: PURPOSE

The purpose of these general conditions is to define the rights and obligations of the parties in the context of

of the online sale of the Product proposed by L'INSTITUT la PLEIADE SA to the Customer.

ARTICLE 3 : ORDERING

3.1 ORDERS

It is up to the Customer to decide on the characteristics of the products corresponding to his needs.

The Customer is thus deemed to have full knowledge of the Product he/she is acquiring and acknowledges that he/she has been able to obtain the relevant information.

Any order form signed by the Customer by "double click" (one click to place the order, one click to confirm it) constitutes an irrevocable acceptance that can only be challenged in the cases exhaustively provided for in these general conditions. The "double click" associated with the authentication and non-repudiation procedure and the protection of all messages constitutes an electronic signature.

3.2. ORDER CONFIRMATION

An order will only be considered accepted once L'INSTITUT la PLEIADE SA has sent the order confirmation by e-mail.

At the discretion of L'INSTITUT la PLEIADE SA, certain orders may be subject to verification by the verification department. In this case, the Customer will be informed in writing (e-mail, fax or mail) of the supporting documents to be sent in order to obtain the final validation of his order. The INSTITUT la PLEIADE SA reserves the right to cancel the order in case of non-receipt of these supporting documents or in case of receipt of documents judged as not conforming.

Any order paid by check will be processed only upon receipt of the payment.

The INSTITUT la PLEIADE SA reserves the right to cancel or refuse any order from a Customer with whom there is a dispute over a previous order, in particular relating to its payment or non-compliance with the general conditions of sale.

3.3. PROOF OF TRANSACTION

The computerized registers, kept in the computer systems of the company L'INSTITUT la PLEIADE SA or its service providers in reasonable conditions of security, will be considered as proof of the communications, orders and payments made between the parties.

In the event of a dispute, the parties agree to consider the email as an original written document and waive the right to challenge this evidence.

ARTICLE 4 : CONDITIONS OF USE OF THE PRODUCT

The INSTITUT la PLEIADE SA grants the Customer, under the conditions defined in the license agreement specific to the Application, a limited, non-exclusive, non-transferable right to use the Application for his personal use.

The Customer has a right of access to the Application for a maximum period of one year, starting from the conclusion of the license agreement or at the latest 15 days after the purchase of the Application.

ARTICLE 5 : DELIVERY

The INSTITUT la PLEIADE SA grants the Customer, under the conditions defined in the license agreement specific to the Application, a limited, non-exclusive, non-transferable right to use the Application for his personal use.

The Customer has a right of access to the Application for a maximum period of one year, starting from the conclusion of the license agreement or at the latest 15 days after the purchase of the Application.

ARTICLE 6 : PRICES INCL. VAT

The price of the Product varies according to the version of the Application concerned:

Online version Life Time: 36,90 CHF for one year subscription renewable by tacit agreement. Can be cancelled by email at the latest 15 days before the anniversary date of the purchase. – fidelp « speak »

– fidelp « mock test » total : 190 CHF

– fidelp « speak » : 10 to 15 minutes with an online teacher

– fidelp « understand » : 10 to 15 minutes with an online teacher

– fidelp « reading and writing » : online written test timed online

– fidelp « support courses »

Online or in-school courses at the client's choice. The price is CHF 100 for one hour (60 min) or CHF 140 for 1 hour and a half. A supplement will be asked for the teacher's travel to your home.

Lhe company L'INSTITUT la PLEIADE SA reserves the right to modify its prices at any time but the Product mentioned in the first paragraph will be invoiced on the basis of the rate in force at the time of the order.

ARTICLE 7: PAYMENT AND SECURITY

The terms of payment for the training courses are as follows: 100 % on delivery of the fidelp accesses. The subrogation of payment by a third party is not accepted by the company L'INSTITUT la PLEIADE SA. In order to protect the Customer during his purchases, the banking information of the Customer (credit card number, visual cryptogram and validity date) are encrypted in SSL format to ensure a high level of security of the transactions and to protect all the data related to the personal information and the means of payment. They are inaccessible to a third party.

In order to fully protect the customer during his purchases, L'INSTITUT la PLEIADE SA has opted for the following solutions:

– Stripe

The payment of the purchases is carried out in cash the day of the order:

* Either by credit card bearing one of the initials CB, Visa or Mastercard. The validated order will be considered effective by L'INSTITUT la PLEIADE SA only when the concerned banking payment centers have given their agreement. In case of refusal of the aforementioned centers, the order will be automatically cancelled and the Customer will be informed by phone, by mail or by post.

* Or by bank check: made out to L'INSTITUT la PLEIADE SA. Unless otherwise agreed in writing with the Customer, cheques are cashed upon confirmation of the order.

In the event of late payment, a flat-rate collection fee of CHF 40 will be charged, together with 10% of the invoice amount including VAT in addition to this fee.

ARTICLE 8: GUARANTEES AND LIABILITY

8.1. The INSTITUT la PLEIADE SA does not give any other guarantee than the one mentioned in the user license agreement specific to the Application. The above-mentioned guarantee is not due if the Customer violates one of the obligations of the present general conditions. The contractual relationship between L'INSTITUT la PLEIADE SA and its customers is subject to Swiss law. The parties agree to resolve amicably any dispute that may arise concerning the application or interpretation of the present contract. If the dispute cannot be resolved amicably, the parties will submit it to the appreciation of the courts. The place of jurisdiction shall be Geneva.

8.2. Except as provided in section

8.3. the Product and, where applicable, the accompanying documentation is provided as is and without warranty of any kind.

8.4. The INSTITUT la PLEIADE SA does not guarantee the continuity and the quality of the communication links with the Customer. Thus, communications with the staff of L'INSTITUT la PLEIADE SA or the website(s) of L'INSTITUT la PLEIADE SA may be interrupted without prior notice for a reasonable period of time, in particular for maintenance reasons or for any reason other than a fault of L'INSTITUT la PLEIADE SA.

In particular, L'INSTITUT la PLEIADE SA cannot be held responsible for failures or malfunctions observed on the communication networks used.

8.5. In the event that L'INSTITUT la PLEIADE SA is held liable, in particular because of a malfunction of the Application, L'INSTITUT la PLEIADE SA may, at its sole discretion, prevent such action by correcting the anomaly or replacing the Product. If L'INSTITUT la PLEIADE SA cannot reasonably correct a defect or replace the Product, L'INSTITUT la PLEIADE SA may, at its sole discretion, refund the purchase price paid for the Product.

ARTICLE 9: PERSONAL DATA AND CONFIDENTIALITY

9.1. The INSTITUT la PLEIADE SA undertakes not to disclose to third parties the information communicated by the Client. This information is confidential.



The provision of personal information is essential for the processing of orders and/or the establishment of invoices.

The address of the Customer is useful at the time of the order in order to send him his invoice, if he requests it.

The Customer's e-mail address allows L'INSTITUT la PLEIADE SA to confirm the customer's orders, to send his login and password, as well as all the answers that would be given by the customer service.

The Client may exercise his right to rectify his personal data by sending a letter to : INSTITUT la PLEIADE SA at the following address: 10, rue Pierre-fatio 1204 - Geneva.

9.2. The Customer shall not communicate to anyone, directly or indirectly, all or part of the information of any nature, commercial, industrial, technical, financial, personal, etc., which will have been communicated to him by L'INSTITUT la PLEIADE SA, or of which he would have had knowledge at the time of the execution of the present contract

ARTICLE 10: INVALIDITY

If any provision of these terms and conditions is found to be invalid under any applicable law or court order, it shall be deemed unwritten, but this shall not invalidate these terms and conditions or affect the validity of the remaining provisions.

ARTICLE 11: ASSIGNMENT

The rights and obligations arising from the contract(s) concluded with L'INSTITUT la PLEIADE SA cannot be transferred to another natural or legal person without the express prior written consent of L'INSTITUT la PLEIADE SA.

ARTICLE 12: FORCE MAJEURE

Neither party shall be liable for any delay or damage resulting from an event of force majeure beyond the control of the defaulting party. Force majeure shall mean, in particular: natural disasters, strikes, riots, wars, epidemics, pandemics, failure of suppliers, acts of God, earthquakes, malfunction of the means of communication.

ARTICLE 13: TERMINATION AND ITS CONSEQUENCES

13.1. Unless otherwise provided for herein, in the event of a serious breach by the Customer of one of its contractual obligations, L'INSTITUT la PLEIADE SA may terminate in writing, without notice, all or part of the contract entered into by the Customer with L'INSTITUT la PLEIADE SA. In the event of a particularly serious breach, and even before pronouncing the termination, L'INSTITUT la PLEIADE SA may decide to suspend the Customer's access to the Application without having previously informed the Customer.

113.2 Upon termination or suspension of the contract, Customer will no longer be able to access and/or use the Application.

ARTICLE 14: TOLERANCE

It is formally agreed that any tolerance or waiver by one of the parties, in the application of all or part of the commitments provided for in this contract, whatever the frequency and duration, shall not be considered as a modification of this contract, nor shall it give rise to any right whatsoever, in particular the failure to report a late payment.

ARTICLE 15: CONTRACTUAL DOCUMENTS

Any order placed by the Customer with L'INSTITUT la PLEIADE SA implies the Customer's full and unreserved acceptance of these general conditions to the exclusion of any other document.

No modification appearing in the documents sent or given by the Client can be integrated into the present general conditions, except with the written agreement of L'INSTITUT la PLEIADE SA.

The Customer has the option of saving, editing or copying these general conditions, it being specified that saving, editing or copying this document is his sole responsibility, as these general conditions of sale may be subject to change. In this case, the applicable conditions will be those in force at the date of the order.

ARTICLE 16: CONSUMER MEDIATION

The contractual relationship between L'INSTITUT la PLEIADE SA and its customers is subject to Swiss law.

ARTICLE 17: APPLICABLE LAW

This contract is subject to Swiss law.
